1. About these Terms
These Terms and Conditions of Sale (the “Terms”) govern all sales of products by Fulji Trading Inc. (“Fulji Trading”, “we”, “us”, “our”), a company incorporated in New Brunswick, Canada, with its place of business at 61 Halifax Street, Moncton, New Brunswick, E1C 9R5.
By placing an order through www.fuljitrading.com, by email, by telephone, or by any other means, you (“you”, “the Customer”) agree to these Terms. These Terms apply to every order you place with us and form the entire agreement between us, replacing any prior discussions or understandings.
If you are placing an order on behalf of a business, you confirm that you have authority to bind that business to these Terms.
We may update these Terms from time to time. The version in effect on the date you place your order is the version that applies to that order.
2. Definitions
“Business Customer” means a Customer purchasing in the course of a business, trade, or profession — including restaurants, cafés, caterers, food trucks, hotels, retailers, institutions, and other commercial buyers.
“Consumer” means an individual purchasing goods for personal, family, or household use, as defined under New Brunswick consumer protection legislation.
“Food Products” means any edible goods, including but not limited to spices, seasonings, condiments, grains, flour, rice, lentils, pulses, beans, canned goods, cooking oils, ghee, sauces, chutneys, snacks, noodles, beverages, and pizza toppings.
“Non-Food Products” means packaging, disposables, foodservice supplies, janitorial products, cleaning products, paper goods, and office supplies.
“Delivery Area” means New Brunswick, Nova Scotia, Prince Edward Island, and Newfoundland and Labrador.
3. Accounts and eligibility
3.1 Browsing. Anyone may browse our catalogue. Pricing and ordering may be restricted to approved account holders.
3.2 Wholesale accounts. Wholesale pricing is available only to approved Business Customers. We approve accounts at our sole discretion and may decline any application without giving reasons. We may require proof of business registration, an HST number, or trade references.
3.3 Account information. You must keep your account details accurate and current. You are responsible for all activity under your account and for keeping your password confidential. Notify us immediately at sales@fuljitrading.com if you suspect unauthorized use.
3.4 Suspension. We may suspend or close any account at any time, including for non-payment, breach of these Terms, or suspected fraud.
4. Products, catalogue, and availability
4.1 Product information. We take care to describe products accurately, but catalogue descriptions, specifications, dimensions, counts per case, and images are for guidance only and are not binding. Product packaging and appearance may differ from images shown.
4.2 Case quantities. Many products are sold only in full case, carton, or bulk quantities. The unit of sale is shown on each product listing. We are not obliged to break cases.
4.3 Availability. All products are subject to availability. We do not guarantee that any product will be in stock.
4.4 Substitutions. Where a product is unavailable, we may — with your prior agreement — supply a comparable substitute. We will not substitute without your consent.
4.5 Discontinuation. We may change or discontinue any product at any time without notice.
5. Pricing and taxes
5.1 Currency. All prices are in Canadian Dollars (CAD).
5.2 Taxes. Prices are exclusive of tax unless stated otherwise. Harmonized Sales Tax (HST) is added at the rate applicable in the delivery province — currently 15% in New Brunswick, Nova Scotia, Prince Edward Island, and Newfoundland and Labrador. Our HST registration number is 797940954RT0001.
5.3 Tax exemption. If you claim a tax exemption, you must provide valid exemption documentation before your order is invoiced. You remain liable for any tax later assessed against us as a result of an invalid exemption claim.
5.4 Price changes. Prices are subject to change without notice. The price that applies is the price confirmed on your order acknowledgement.
5.5 Pricing errors. Despite our efforts, products may occasionally be listed at an incorrect price. Where the correct price is higher than the listed price, we will contact you before shipping to ask whether you wish to proceed at the corrected price or cancel. We are not obliged to supply at an incorrect price.
5.6 Delivery charges. Delivery charges and any fuel or handling surcharges are set out at checkout and in Section 7.
6. Orders and acceptance
6.1 Your order is an offer. Placing an order — online, by email, or by phone — is an offer by you to purchase. It does not create a contract.
6.2 Our acceptance. A contract is formed only when we send you an order confirmation or dispatch the goods, whichever is earlier. An automated acknowledgement of receipt is not an acceptance.
6.3 Right to refuse. We may refuse or cancel any order, in whole or in part, at our discretion — including where the product is unavailable, where there is a pricing or description error, where we suspect fraud, or where your account is on credit hold.
6.4 Cancellation by you. You may cancel an order at no charge before it has been picked or dispatched. Once an order has been picked or loaded for delivery, cancellation is at our discretion and may attract a restocking charge under Section 9.
7. Delivery
7.1 Delivery Area. We deliver throughout New Brunswick, Nova Scotia, Prince Edward Island, and Newfoundland and Labrador. We do not deliver outside the Delivery Area.
7.2 Delivery dates. Delivery dates and time windows are estimates only. Time is not of the essence. We are not liable for any loss arising from late delivery, including lost profits, lost sales, or the cost of substitute goods.
7.3 Access and failed delivery. You must ensure that someone is available at the delivery address during the agreed window, and that the delivery vehicle has safe and lawful access. If we attempt delivery and cannot complete it because no one is available or access is obstructed, we will contact you to arrange re-delivery. Re-delivery is free of charge if you accept delivery on the next scheduled delivery day for your area. If you require re-delivery outside that schedule, a delivery charge applies, calculated by reference to your delivery address.
7.4 Inspection on delivery. You must inspect the goods at the time of delivery, before signing.
7.5 Signature and proof of delivery. A signature captured at the point of delivery — whether on paper or electronically — is conclusive evidence that the goods listed on the delivery document were delivered in the stated quantity and in apparent good condition, except for any shortage or damage recorded on the delivery document at the time of delivery.
7.6 Risk. Risk of loss or damage passes to you on delivery to the address you provided, or on collection if you collect the goods yourself.
7.7 Title. Title to the goods does not pass to you until we have received payment in full. Until title passes, you must store the goods so that they remain identifiable as ours, and we may repossess them if payment becomes overdue.
7.8 Storage after delivery. Once delivered, you are solely responsible for the correct storage, handling, temperature control, and rotation of all goods — in particular Food Products. We are not liable for spoilage, contamination, or deterioration arising after delivery.
8. Shortages, damage, and incorrect items
8.1 Damage or shortage visible on delivery. Any shortage, damage, or discrepancy that is apparent on inspection must be recorded on the delivery document at the time of delivery and reported to us at sales@fuljitrading.com within 24 hours. Claims not recorded at delivery and reported within this period will not be accepted.
8.2 Concealed damage or defects. Damage or defects that were not reasonably apparent on delivery must be reported within 5 business days of delivery, with photographs and the invoice number. Do not dispose of the goods or the packaging until we have responded.
8.3 Incorrect items. If we ship an item you did not order, notify us within 5 business days. We will arrange collection at our cost and issue a replacement or a credit.
8.4 Our remedy. Where a valid claim is accepted under this Section, our sole obligation — and your sole remedy — is, at our option, to replace the goods, issue a credit, or refund the price paid for the affected goods. We are not liable for any further loss.
9. Returns
9.1 Food Products — no returns
Food Products cannot be returned or exchanged under any circumstances. This is a food safety requirement: once Food Products have left our premises, we cannot verify how they have been stored, handled, or transported, and we cannot lawfully return them to saleable stock.
This exclusion does not apply where the Food Products were damaged in transit, were defective on arrival, were past their best-before or expiry date on arrival, or were not the items you ordered — in which case Section 8 applies and you will receive a replacement or credit.
9.2 Non-Food Products — returns by authorization only
Non-Food Products may be returned only if all of the following apply:
- You request a return within 7 days of delivery;
- You obtain a Return Authorization (RA) number from us before shipping anything back;
- The goods are unopened, unused, undamaged, and in their original sealed packaging, with all labels intact;
- The goods are not marked as non-returnable, clearance, special order, or custom/private label.
Returns received without an RA number will be refused.
9.3 Restocking charge
Authorized returns of Non-Food Products are subject to a restocking charge of up to 15% of the invoice value. Return freight is at your cost unless the return arises from our error or a defect.
9.4 Non-returnable in all cases
- All Food Products (subject to 9.1)
- Opened or used goods
- Special-order, custom, or private-label items
- Clearance or final-sale items
- Goods that have been stored in conditions that may have compromised them
9.5 Refunds
Approved refunds are issued to the original payment method, or as an account credit for credit-account customers, within 10 business days of our receipt and inspection of the returned goods.
10. Payment
10.1 Payment methods. We accept Interac e-Transfer, electronic funds transfer (EFT), cheque, and credit card. Available methods are shown at checkout or on your invoice.
10.2 Prepayment. Unless we have approved you for a credit account, payment in full is required before goods are dispatched.
10.3 Credit accounts. Approved Business Customers may be granted credit terms of Net 30 days from the invoice date. Credit is granted at our discretion, is subject to a credit limit we set, and may be reduced, suspended, or withdrawn at any time without notice.
10.4 Late payment interest. Overdue amounts bear interest at 1.5% per month, being 19.56% per annum, calculated and compounded monthly from the due date until paid in full, both before and after judgment.
10.5 NSF and returned payments. A fee of $50 applies to any cheque or pre-authorized payment returned unpaid.
10.6 Collection costs. You must reimburse us for all reasonable costs of collecting overdue amounts, including legal fees on a solicitor-and-client basis and collection agency fees.
10.7 Credit hold. If any amount is overdue, we may suspend all deliveries and withhold acceptance of new orders until the account is brought current.
10.8 No set-off. You must pay all amounts due in full without any set-off, counterclaim, deduction, or withholding.
10.9 Application of payments. We may apply any payment received to any outstanding invoice on your account, regardless of what you specify.
11. Food safety, labelling, and allergens
11.1 Regulatory information. Product information, including ingredients, allergens, nutritional data, and country of origin, is supplied to us by our vendors and manufacturers. We pass it on in good faith but do not independently verify it.
11.2 Your responsibility. You are responsible for reading the product label on the goods you receive, and for satisfying yourself that a product is suitable for your intended use — including any allergen, dietary, religious, or regulatory requirement. Always rely on the label on the physical product, not on our website listing.
11.3 Formulation changes. Manufacturers may change formulations, ingredients, or packaging without notice to us.
11.4 Your own compliance. Where you resell or serve our products, you are responsible for your own compliance with the Safe Food for Canadians Act, the Food and Drugs Act, provincial food premises regulations, and all applicable labelling and allergen disclosure requirements.
12. Warranties
12.1 Manufacturer warranties. Goods are supplied with the benefit of any manufacturer's warranty. We will pass through the benefit of such warranties to you where we are able to.
12.2 Business Customers. To the maximum extent permitted by law, and for Business Customers only, all implied terms, conditions, and warranties — including any implied warranty of merchantable quality or fitness for a particular purpose — are excluded from these Terms.
12.3 Consumers.Nothing in these Terms limits, excludes, or modifies any statutory right, warranty, or remedy that a Consumer has under the New Brunswick Consumer Product Warranty and Liability Act or any other applicable consumer protection law. Where any provision of these Terms conflicts with those rights, those rights prevail and the conflicting provision does not apply to that Consumer.
13. Limitation of liability
13.1 Exclusion of indirect loss. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profit, loss of revenue, loss of business, loss of goodwill, business interruption, or cost of substitute goods, however arising, whether in contract, tort (including negligence), or otherwise, and whether or not we were advised of the possibility of such loss.
13.2 Cap on liability. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any order — whether in contract, tort, statute, or otherwise — is limited to the price you paid for the specific goods giving rise to the claim.
13.3 What we do not exclude. Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot lawfully be excluded or limited, including under the New Brunswick Consumer Product Warranty and Liability Act in respect of Consumers.
13.4 Consumers. Sections 13.1 and 13.2 apply to Business Customers. In respect of Consumers, they apply only to the extent permitted by applicable consumer protection law.
14. Force majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including severe weather, storms, flooding, fire, road closures, ferry disruption, labour disputes, supplier failure, shortage of goods or transport, pandemic or epidemic, government action, power or telecommunications failure, or cyberattack. If such an event continues for more than 30 days, either party may cancel the affected order without liability.
15. Intellectual property
All content on www.fuljitrading.com — including text, product descriptions, images, logos, and the Fulji Trading name and marks — is owned by or licensed to Fulji Trading Inc. and is protected by Canadian and international intellectual property law. You may not copy, reproduce, republish, or use it for any commercial purpose without our prior written consent.
16. Privacy
Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms. We handle personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).
17. General
17.1 Governing law. These Terms and any dispute arising from them are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable in it.
17.2 Jurisdiction. The courts of the Province of New Brunswick have exclusive jurisdiction over any dispute, and you submit to their jurisdiction. Nothing in this clause prevents a Consumer from bringing proceedings in their own province of residence where the law gives them that right.
17.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision is severed and the remaining provisions continue in full force.
17.4 No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
17.5 Assignment. You may not assign or transfer your rights under these Terms without our written consent. We may assign ours.
17.6 Entire agreement. These Terms constitute the entire agreement between us in respect of the sale of goods and supersede all prior representations, understandings, and agreements. Any purchase order terms, standard conditions, or other documents issued by you are of no effect and do not form part of the contract, even if we acknowledge or act on them.
17.7 Language. These Terms are available in English and French. In the event of any inconsistency between the two versions, the English version prevails.
